ONETASTE TERMS AND CONDITIONS OF PURCHASE AND REFUND POLICY

Enrolling in a OneTaste program is the first step in an astounding and life-changing experience.

We understand that sometimes it is necessary to make schedule changes because of work or one's lifestyle. As such, we allow for withdrawals, transfers and refunds in accordance with the terms of our Refund Policy, which forms part of these Terms and Conditions. Our Refund Policy has been crafted to ensure that we can create amazing courses and experiences for all of our customers.

Specific agreements provide a solid, clear space to open up and feel more of our desire than we previously knew was possible. OM teaches us that clear boundaries are the very thing that provide this possibility and complementary sense of safety, allowing us to fully let go and experience the benefits of our practice. The purpose of these Terms and Conditions is to support OneTaste customers in experiencing the full benefits of their programs, as well as the products and services they purchase.

DEFINITIONS AND APPLICATION

First, some necessary information about application and definitions. Bear with us through this part.

In this Policy "One Taste Inc. Purchases" means purchases of programs, products or services offered by OneTaste Inc. ("OneTaste Inc."). "City Affiliate Purchases" means purchases of programs, products or services offered by the OneTaste City Affiliates in San Francisco, Los Angeles, New York, Austin and London ("City Affiliates").

The following Terms and Conditions apply to OneTaste Inc. Purchases. This means all purchases of OneTaste Inc. programs, products and services whether made online through onetaste.us, as a result of a direct conversation with a OneTaste Inc. employed salesperson, or from any other person authorized to sell OneTaste Inc. programs, products and services.

The Terms and Conditions also apply to programs, products and services of City Affiliates, but only when the purchase is made through the website onetaste.us. For the terms and conditions that apply to City Affiliate Purchases which are not sold through onetaste.us, you will need to refer to the relevant City Affiliate's website or contact them directly for the terms and conditions of sale.

Please review these Terms and Conditions and ask any questions before making any purchase. Any exceptions to these Terms and Conditions are granted solely at the discretion of OneTaste or the relevant City Affiliate in the case of City Affiliate Purchases. In the case of OneTaste Inc. Purchases, any exception must be approved by the CEO, Co-President responsible for Sales, Chief Strategy Officer or CFO. In the case of City Affiliate Purchases made through onetaste.us, any exception must be approved by the Director of the City Affiliate. There is no assurance that any allowance will be made if requested.

OneTaste is a practice-based business. As practitioners, we are always working to find the best ways to support our own and other people's efforts to have Orgasm come further out into the world. Our goal is to find the sweet spot as a for-profit business – neither leaning towards avoidance nor gluttony. It is with our feet on the ground and our eyes on the horizon that we share our company finance plan with you. We are here to serve.

  • Our profits go towards continuing to create and support Orgasm based missions
  • All things we support will be grassroots, people-to-people efforts
  • We will try to make resources that we have access to (our venues, our technologies, etc.) available to non-profit groups who align with our values

CUSTOMER DELIGHT

OneTaste is always available to be of service and to answer any questions and provide clarification of our Terms and Conditions. We encourage attendees to ask all questions at the time of purchase, and definitely before any stated expiration date for refunds. Simply put, if you have a question, we want to answer it. If you have an issue, we want to resolve it. If you want to tell us about that moment during the last coaching program weekend where it felt like all the lights came on—we want to hear! OUR FULL REFUND POLICY ON SELECTED COURSES

We are so confident that you will enjoy the program or course you have enrolled in that for most of our programs and courses we offer a Full Refund Guarantee if you attend in person:

  • the first day or evening of our multiday immersion courses or retreats; or
  • the first weekend of a program that takes place over a series of immersions, such as the Coaching Program,

and request to withdraw at the end of that period through an in-person conversation with the course leader within one hour of the end of the day or weekend.

PLEASE NOTE THAT THE FULL-REFUND GUARANTEE APPLIES ONLY TO PROGRAMS WHERE IT IS CLEARLY SHOWN AS BEING APPLICABLE ON THE REFUNDS TABLE BELOW. IN PARTICULAR, THE FULL REFUND GUARANTEE DOES NOT APPLY TO THE INTENSIVE OR MEMBERSHIP PROGRAMS.

The procedure to activate the Full Refund Guarantee is:

  1. Inform your course leader that you want to withdraw within one hour of the end of the day or weekend.
  2. Your course leader will supply you with a "Full Refund Guarantee Form". You will both sign it and it will be instantly emailed to yourself and OneTaste Inc. (or the City Affiliate for City Affiliate Purchases).

REFUND POLICY

You may cancel any Purchase covered by these Terms and Conditions within 72 hours of making the purchase, and will be issued a full refund, deducting only any bank charges or other transaction fees we may incur in getting your money back to you. To qualify, you must send an email to [email protected] within 72 hours of your purchase with the following information: the name of the product, a purchase receipt and a brief statement as to why you are requesting a refund.

We apply different return rules for withdrawal from different programs, products and services. These rules have been developed to be as fair as possible to you the customer and to OneTaste, to enable us to plan programs of the quality, scope and scale that we like to host, and to enable you and all of our customers to have the best experience possible.

The table below sets out the refund policies for different programs, products and services offered by OneTaste Inc. and by the City Affiliates through onetaste.us ("the Refund Table"). All percentages set out in the Refund Table represent a percentage of total payments made towards purchases, provided that if the customer has paid less than the minimum deposit for the program, then the percentage withheld will be based on the minimum deposit.

While we try to ensure that the Refund Table is kept up to date, OneTaste is a fast-moving organization and exciting new programs are added frequently. If a new program, product or service that you are enrolled for does not appear on the Refund Table, please contact [email protected] and we will provide you with the refund terms applicable to your Purchase.

WE ONLY ALLOW CASH REFUNDS ONCE. If you need to withdraw from another program or service, or return a product and request a refund a second time or beyond, we will allow it only as a credit toward a future Purchase ("Credit Voucher"), on the same terms set out in the Refund Table. In other words, if you have cancelled and received any form of cash refund in the past, you will only be eligible for a credit for a future Purchase and you will not be eligible for a cash refund.

The FIRST time you need to withdraw from any OneTaste Inc. Purchase or City Affiliate Purchase, if you wish to exchange it for a Credit Voucher instead of taking a cash refund, and withdraw more than 30 days before the start of the program, we will generally permit this and provide a full Credit Voucher.

Credit Vouchers will be valid for 18 months. Credit Vouchers for OneTaste Inc. Purchases are only eligible for other OneTaste Inc. programs, products and services. Credit Vouchers for City Affiliate Purchases are only eligible for other courses offered by the relevant City Affiliate. In some cases, this policy may be relaxed but this cannot be guaranteed. If you apply the Credit Voucher to a Purchase of a lesser value than the Credit Voucher value, you will be able to apply the balance to another Program, Product or Service. If you fail to attend a program, course or service paid for using a Credit Voucher, it will be considered redeemed and carry no further value. If you partially redeem a Credit Voucher, the balance will expire according to the date that the initial Credit Voucher was issued.

If any refund incurs bank wire or PayPal fees, those will be deducted from your final refund amount (this applies particularly to international customers).

OneTaste accepts credit card payments through an industry leading third-party credit card processor, a convenience for which we gladly pay a small fee on each transaction. Due to industry limits, our credit card processor does not allow for transactions to be refunded past 180 days from date of payment. For this reason, in cases where a refund is requested on a credit card payment made longer than 180 days ago, we can accommodate your request via PayPal or check, but, the refund will be subject to an additional 2.2% deduction, the amount no longer reclaimable from the credit card processor. This deduction will also apply to refunds of credit card payments made at any time where the customer requests to have the funds returned via PayPal, check, or any other method than back to the original card of purchase.

Exceptions to any of the Refund Policy rules for OneTaste Inc. Purchases must be approved by the CEO, Co-President responsible for Sales, Chief Strategy Officer or CFO of OneTaste. Exceptions to any of the rules for City Affiliate Purchases must be approved by the Director of the relevant City Affiliate.

DELINQUENT PAYMENT POLICY

We offer payment plan options for your convenience, and this section applies to those who opt to pay for their programs with scheduled payments. If you pay in full, please disregard this paragraph. If you fall behind on your scheduled payments, we reserve the right to not permit you to attend upcoming programs and activities that form part of programs, or coaching sessions until you get up to date with your payments. During this time, upcoming payments on any agreed payment plan will continue to accrue. You must be current with your payments in order to attend program events and activities. We will also apply an 8% interest rate, compounded monthly for any amounts that are delinquent.

In serious cases, we may refer delinquent payees to an outside collections agency.

CHANGES TO PROGRAMS

You acknowledge that program content and activities are subject to change. We do not promise any particular teachers, lessons, materials, or experiences. Nor do we guarantee that our programs, products or services will solve any particular issue or problem.

From time to time it is necessary to change the dates of our programs. If OneTaste Inc. or a City Affiliate changes the dates of any program in which you are registered and the new date does not fit your schedule, you have 72 hours to inform us at [email protected], and you will be provided with a Credit Voucher for an equivalent alternative course. If no alternative dates or program is suitable, we will gladly issue you with a full cash refund.

NATURE OF CONTENT AND RELEASE OF LIABILITY

Much like an OM, many of our programs, products and services are intensive experiences that are designed to change your life. At times, they may challenge you, offend you, or delight you.

By signing up for our programs, products or services, you understand and accept that the material may be controversial.

You alone are responsible for deciding whether or not our programs, products or services are right for you. There are emotional, physical, and psychological risks associated with any deeply transformational work, especially one that deals with sexual content. We assume that you have considered those risks, and knowingly and voluntarily accept and understand them.

If you have Post Traumatic Stress Disorder, or are suffering from the effects of trauma, we strongly advise you to speak to a therapist or other mental health professional before registering for our programs, products or services, as participation in them may trigger difficult emotions and feelings.

Once you are in a program or coaching relationship, anything you do is of your own free will. Much like an OM, NO is always an acceptable response to any offer or invitation from our employees, coaches or guest teachers. OneTaste is not responsible for anything that may happen to you during a course or program. In lawyer-speak, that means that you explicitly release OneTaste Inc., the City Affiliates, any related companies, our directors, officers, agents, subsidiaries, and affiliates, from any liability related in any way to a program, product or service. In more simple terms, it is simply a matter of freely entering what we believe to be an exhilarating and rewarding experience on your own free will. We provide some structure but the free will part is yours to own.

You will also be asked to sign a program agreement and liability waiver before the start of your program that sets out in more detail the specific conditions of participation that are needed from all students. These agreements ensure that we can provide a truly rewarding experience for everyone in the program.

PHYSICAL AND ONLINE PRODUCTS POLICY

If you are not 100% satisfied with your downloaded or physical products, email [email protected] with the words PRODUCT ISSUE noted in the subject line and let us know. If we can't resolve an issue with a product, we will provide a Credit Voucher towards a future purchase, less any shipping or handling costs. No returns are permitted other than in the case of defective items on sales of OneStroke or The OM Nest.

To receive Voucher Credit for a physical item where our Helpdesk has approved a refund, you must return the original item to us within 30 days of your purchase, following these three steps:

  1. Email [email protected] and request a tracking number.
  2. Mail your returned item to: OneTaste, Inc., 1446 Market St San Francisco, CA 94102, USA.
  3. You must pay for return postage.

THE ONETASTE CODE OF CONDUCT

OneTaste and City Affiliate staff, teachers, "Back of House" Assistants, Certified Coaches and Coaches-in-Training ("Leaders") are subject to the OneTaste Code of Conduct with respect to their interactions with our customers. The Code of Conduct that applies to our Leaders can be accessed on our website at http://onetaste.us/code-of-conduct. CHOICE OF LAW, MEDIATION, AND ARBITRATION

We don't like court battles. They are expensive for both sides, and often unnecessarily escalate a disagreement, and have the potential to disrupt our common mission in offering the programs in the first place. That's why we prefer to use a combination of mediation and arbitration to settle disputes.

Therefore, you agree that any disputes between us are first subject to mediation by a mediator from JAMS in San Francisco, or an agreeable substitute. Any mediation request must be filed within 90 days that you know, or should have known, of the cause of action.

If mediation is not successful, all claims are subject to binding arbitration before JAMS, except that you may assert claims in small claims court if they so qualify. Arbitrations will be conducted in San Francisco, California. JAMS shall appoint the Arbitrator(s) in accordance with its rules unless the parties mutually agree to another procedure. Judgment upon the award rendered by the Arbitrator(s) shall be entered in any court having jurisdiction pursuant to applicable law. Each party will be individually responsible for their own attorney and arbitration fees, regardless of who prevails. Any arbitration request must be filed within 90 days that you know, or should have known, of the cause of action (although the mediation process tolls (i.e. pauses) this time period).

YOU UNDERSTAND THAT YOU ARE AGREEING TO WAIVE YOUR RIGHT TO A JURY TRIAL.

If either party institutes any legal action in any court, the other party has the right to seek dismissal by demurrer or motion to dismiss, and will be not required to file an answer. The other party shall be entitled to an award in its favor for the amount of its actual fees and costs of suit.

Any disputes or claims relating in any way to this Agreement or to any of our Programs, including this provision itself, are governed by the laws of the State of California.

NO ORAL AGREEMENTS, AND SEVERABLE TERMS

These Terms and Conditions are the sole document governing all OneTaste Inc. Purchases, and all City Affiliate Purchases made through our website onetaste.us. There are no understandings, agreements, or representations, oral or written, that are not specified within these Terms. These Terms may not be modified, supplemented, or amended, in any manner, except by a written agreement signed by both parties, or by an official program agreement signed for a particular program. You understand and agree that any other oral or written statements by OneTaste or a City Affiliate regarding the Programs, Products and Services are statements of opinion and not a representation, warranty, or guarantee.

The provisions of these Terms and Conditions are severable. That means that if an arbitrator or other decision-maker finds that any provision is wholly or partially invalid or unenforceable, the rest of the Terms and Conditions are still enforceable. Likewise, if a provision is partially unenforceable, it shall still be enforced to the extent possible.

These Terms and Conditions are between you and OneTaste Inc., Powerlights Incorporated Limited, each OneTaste City Affiliate (OTBA Inc., The Next Right Thing LLC, Texas Limbic Network LLC , OneTaste NYC LLC, and OneTaste Limited (UK)) and any of their subsidiaries, affiliates, nominees, licensees, their successors and assigns, and those acting with its authority, including any employers, managers, employees, staff, volunteers, officers, directors, servants, stockholders, principals, general and limited partners, agents, assigns, heirs, attorneys, representatives, and each of their respective families, heirs and executors, predecessors and successors, subsidiaries, affiliates, divisions, sureties, guarantors, insurers, and all other related entities.

These Terms and Conditions are effective February 5, 2017. If you made a purchase before this date, please contact [email protected] for a copy of our previous refund and customer service policy. The previous policy is grandfathered only for a period of 6 months from the implementation of this new policy, so any claims submitted beyond that date will be dealt with under this policy.
